MEETING MINUTES
March 27, 2022, 1:30 PM, 897 Paddy Rd
Meeting initiated by Ken Costa, President. Eleven new members paid their dues
and
joined the HOA. A large crowd attended to vote on the budget for 2022 and the
revised
Articles of Incorporation and By-Laws. The budget was approved by a vote of 67%,
a
simple majority needed. The revised Articles of Incorporation and Bylaws were
not, a two-
thirds majority needed. Of the votes cast, the Articles received 64% while the
Bylaws
received 61%.
The President explained that the Wilson County Commissioners are solely
responsible for
maintaining our roads and introduced the remaining candidates competing in the
upcoming runoff election, the winner of which shall be the Commissioner for our
precinct.
Two candidates for County
Commissioner presented their background and
accomplishments as to why they should be elected in the November 2022 General
Election. Members’ main concern was the condition of the roads and the process
for
repairing them. Both candidates explained the budget situation for Wilson County
and the
lack of adequate money for road repairs without raising taxes. No solutions to
this problem
were foreseen by either candidate but both agreed to monitor the roads as
carefully as
possible.
Regarding changing our restrictions, the President explained: The entire SRHOA
board of
directors wishes our community had the ability to change the restrictions as
most
communities do. Unfortunately, when the developers wrote the subdivision
restrictions
many years ago, they did not provide any way for anyone to change them. Although
the
Texas property code allows communities in our predicament to establish
procedures to
change them, at least two-thirds of the owners must agree to the change
procedures. Only
when procedures are in place can we entertain specific proposals to change the
restrictions. When we polled the owners a few years ago, less than 15% wanted
our
community to have the ability to change them. Many owners were very angry that
the
subject even came up; they moved here because of the existing restrictions and
want no
possibility of them being changed. With 438 lots in our neighborhood, it may be
some time
before two-thirds of the owners not only want our community to have the ability
to change
them but will agree to the specifics of the procedures. Meanwhile, it's our job
to enforce
them as written as many residents are counting on us to do.
In response to a question about business activities allowed in residential
neighborhoods,
the President summarized information from our attorney: Activities which are not
detectable by sight, sound or smell are generally allowed. Maintaining a home
office and
the occasional sales of items are allowed. Retail sales carts operating 24/7 are
not.
In response to a question about
motorized off-road vehicles, the President explained: The
noise they generate violates the nuisance provisions of our restrictions. Other
neighborhoods with similar provisions prohibit their recreational use as well.
The Association’s finances were
presented:
a. Bank account balance: $62,639.
b. Income:
(1) Membership: $4,150. Thanks
to all who promptly pay their dues; you save
Janelle and me a lot of time.
(2) Donation: $50 from HWY 181
Recycle Center.
c. Expenses to date: $353 cost
of website through 11/26/24; $34 electric bill for
lights at entrance; $110.00 in legal fees.
d. The President thanked Randy
Davis for serving as webmaster and for finding a
better and cheaper web hosting provider.
Glenn Mabe and Jordan Gelino
were primary members voicing concerns that the Board
was not following the Bylaws to the letter. A motion was made by Glenn Mabe to
remove
the Board for cause. Motion was seconded with discussion following. The
President
explained that we consolidated the business of two meetings of the members into
one to
eliminate the burden of members attending unnecessary meetings and that we held
Board
meetings when needed rather than holding meetings just to fill a square. Motion
was
withdrawn when it was apparent the Board would address their concerns and follow
the
Bylaws.

RIDGE ANNUAL MEMBERSHIP MEETING MINUTES
November 13, 2022
The meeting was called to order at 4:00 p.m. A quorum was present.
Approval of Minutes
The President called for the
March 27, 2022, General Meeting Minutes to be approved. The
final draft of minutes was sent out with the agenda on
October 24, 2022. No corrections had
been received.
Andi Kelly provided the Board
with a written document for changes she wanted
with numerous suggestions for rewording/deleting. These
minutes remain “unapproved”.
Questions from the floor (off agenda)
Michelle Papp asked for clarification about whether the
Board was using Robert’s Rules of
Order. The Parliamentarian responded that the Board has
established as per the Bylaws (Article
V, Section 6) “appropriate parliamentary rules,” which
include Robert’s Rules of Order where
relevant, for meetings and other procedures.
Financial Report
Rex Minard gave the financial report. Some members had
questions about how the monies
were spent, but these questions were relevant to New
Business, not the financial report. They
were asked to bring those questions during that segment.
New Business
1. Voting
The President called for the voting to take place.
Three points of order were raised:
- Andi Kelly questioned the timing of the election of Area
Rep 6. The Board explained that the
election for that Rep is scheduled for 2023 according to
the staggered approach provided for by
the Bylaws.
- Jordan Gelino said that 30-days’ notice of the proposed
amendment to the Articles of
Incorporation and the Bylaws was not provided. The
President said that the notice was sent
over 30 days prior to the meeting.
- Jordan Gelino asked about term limits. The President
said the Bylaws did not provide for term
limits. Board members explained the difference between
“term limits” and “term of office.”
Members began casting their ballots.
Debi Segovia and Charlie and Lori Orman began counting
the ballots with Alena Berlanga observing. Voting ended at
4:45 p.m.
2. Discussion on Website
Michelle Papp offered suggestions for upgrading the
website such as updating the “look” of the
site.
Other.
When a member became disruptive during the meeting and
ignored numerous requests
to come to order, the Wilson County Sheriff’s Office was
called. When deputies arrived, the
member had stopped the disturbance and no further action
was necessary.
